1. Scope and Parties
The Service is provided by Imference (“we”, “us”, “our”). These Terms apply to all users, including businesses (B2B) and consumers (B2C) residing in Switzerland or abroad.
2. Eligibility and Account Responsibility
You confirm that you are legally capable of entering into a contract under Swiss law.
- You are responsible for safeguarding your License Key or API Key.
- You must notify us immediately in case of unauthorized access.
- Any API usage made with your key is considered authorized by you.
3. License and Permitted Use
We grant you a non-exclusive, non-transferable, revocable license to use the API in accordance with these Terms.
You may not:
- Reverse engineer the Service or attempt to extract internal models.
- Share, resell, sublicense, or transfer your License Key to third parties.
- Use the Service to generate illegal content or violate Swiss or international law.
- Interfere with rate limits, security features, or operational integrity.
4. Prices, Billing & Subscriptions
Prices are displayed in CHF or USD depending on your selected plan. Payment processing is handled by third-party providers such as Stripe or Paddle.
For B2C (Consumers):
- Swiss law does not provide an automatic withdrawal right for digital online purchases.
- Refunds for digital API access are generally not available once your License Key has been activated and used.
For B2B (Companies):
- All purchases are final and non-refundable unless otherwise agreed in writing.
Subscription plans renew automatically unless cancelled. You can manage your subscription in your customer dashboard.
5. Rate Limits, Fair Use & Service Availability
To ensure stability of the Service, we may apply rate limits, concurrency caps, or usage thresholds.
- Excessive usage or automated abuse may result in temporary or permanent suspension.
- We do not guarantee uninterrupted availability of the API.
- We may perform maintenance or modify the Service at any time.
6. Data, Privacy & Swiss DSG Compliance
We process data in accordance with the Swiss Federal Act on Data Protection (DSG) and applicable international standards.
- You retain ownership of your input and output data unless otherwise stated in specific agreements.
- You must ensure that any personal data submitted to the API complies with the DSG and that you have the legal basis to process such data.
- We store minimal logs required for security, billing, and operational reliability.
- We do not use your data to train public models unless explicitly stated.
7. Prohibited Use
You may not use the API to generate, distribute, or assist in:
- Illegal or harmful content under Swiss law.
- Content violating intellectual property, privacy, or contractual rights.
- Fraud, impersonation, harassment, malware, or spam.
- Circumvention of sanctions or export control regulations (SECO, EU, US).
8. Warranty Disclaimer
The Service is provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by Swiss law, we disclaim any warranties, including fitness for a particular purpose, accuracy of generated content, or uninterrupted operation.
9. Liability (Swiss CO/OR)
Our liability is governed by the Swiss Code of Obligations (CO/OR).
- We are liable for damages caused by gross negligence or unlawful intent in accordance with Swiss law.
- We are not liable for slight negligence, indirect damages, loss of data, lost profits, or consequential damages.
- For B2B customers, liability is limited to the total amount paid to us in the 12 months preceding the event.
10. Termination
We may suspend or terminate your access if you violate these Terms, misuse the Service, or if required by law.
Upon termination, your License Key may be disabled. Sections relating to liability, data, and billing survive termination.
11. Amendments
We may update these Terms when necessary. Updates will be published on this page with a revised “Last updated” date. Continued use of the Service after changes constitutes acceptance.
12. Governing Law & Jurisdiction (Switzerland)
These Terms are governed exclusively by Swiss law, in particular the Swiss Code of Obligations (OR/CO), excluding international private law.
The place of jurisdiction is the registered office of Imference, unless mandatory jurisdiction applies for consumers under Swiss law.
